PC turns on again after Windows shutdown

Hello!

I got the following problem and I m not sure if it is completely Windows XP
related because I dont have another OS boot CD at hand. But maybe one of you
experienced this already and knows a solution.

An all-dandy up2date non-infected Windows XP SP3 installation shuts down.
Device manager lists no red X, system device like ACPI and such are all
available, up and running and such. We click on Start->Power off and it shuts
down, until all lights go out etc. Silence.

After 2-3 seconds the PC turns on again like Alar in Tempest Keep and boots
up. I checked the BIOS (AMI, Motherboard is a FOXCONN P35A-S) and there the
usual suspects of Restore Power after AC loss and related are all "off",
"power off" etc.

Any clue what this can be and how it can be fixed?

99% of the time a pc restarts itself even though "shut off" was selected,the
problem is a hardware conflict..Uninstall (physically remove) add-ons,one at
a time till its located....

Been there, had that! If you have checked everything including all
add-on hardware, then your motherboard is having a problem.
