are you closing it or minimizing it to the tray? if closing, make sure
all
apps that access outlook data are closed - remove PDAs from the cradle
too.
if you use a search utility (lookout, msn search etc) it may still be
searching.
If you get
http://www.sunflowerhead.com/software/knockout you can see if
it's closing and force it closed from the tray.

After closing Outlook 2003 the icon in the system tray is still there.
