NW 5.0 W2k3 AD - Issues

I am trying to move 300+ users and the file storage on our novell
server to our 2003 AD server. Reading some information about MSDSS,
this was the way I have decided to go. After getting MSDSS installed,
which the install went perfect, or what I would assume to be perfect.
The hang up is after I restart my test server, running 2003 Enterprise,
already a DC. I get a lovely little error saying that "Directory
Synchronization Service encountered a problem and needed to close."

I check the services and find that the service is not started. I start
it and it will start for about 3 seconds then turn back off with no
error. I then checked the event logs and ran across this.

In the application log...source is MSDSS

"The Directory Synchronization Service failed to access one of it's
configuration objects in Active Directory and cannot continue.

Make sure that Active Directory is available on this machine and that
the following object and its children are accessible from the service
login context:

LDAP://CN=Directory Synchronization Service,CN=System,DC=test,DC=test

Error code (0x80070005): Access is denied.

and this in the application log...source is Application Error

"Faulting application msdss.exe, version 5.0.3790.190, faulting module
unknown, version 0.0.0.0, fault address 0x65636170.

Anyone have any idea how to get this running? This is a task that I
need only really file sync going for a long-term staged migration.
Thoughts, concerns, opinions, advice...?
