No Safe Mode

Win 2K sp4 + all updates. The machine works fine in normal mode.
The blue screen error message when trying Safe mode is:

0X80464119
IRQL_NOT_LESS_OR_EQUAL

Date Stamp 45ec3c8f ntoskrnl.exe

I've tried emergency repair and I have no idea how to
proceed to fix the problem. Any ideas?
