New installation freezes at XP splash screen....Pro and Media Cent

I can't figure it out.... my machine will load XP home, but when I put XP Pro
or Media Centre on it, it freezes at the splash page just before loading.
What's the deal?
In safe mode it freezes at

multi(0)disk(0)rdisk(0)partition(1)\WINDOWS\system32\DRIVERS\agpCPQ.sys

DFI LANParty 875Pro B (Canterwood)
1GB GEiL PC4200 dual channel kit
MSI nvidia 6800GT 256MB DDR3
Sound Blaster Audigy 2 ZS Platinum
Maxtor 160GB SATA

HELP!

If xp home is the OS then why load a pro or media center disk and expect it
to help matters....

Okay... I'm not sure what you are asking, but ...

I was doing both an upgrade of the OS and a clean installation, and neither
work.

I have 10 machines at home, and routinely do formats and re-installs.

On this one particular machine...

Windows XP Home will install and load fine, pre service pack 2.
Windows XP Pro (pre service pack 1) will install as a clean install.

XP Pro with service pack 2 will NOT install as an upgrade, or as a clean
install.
XP Media Centre Edition will NOT install as an upgrade or as a clean install.

Clear enough for you?
