lsass.exe failures -- shutdown

I have been having this problem for the past 6-8 months. The exact problem I am having right now causes the PC to reboot unexpectedly at anytime. When it reboots I get the blue screen with the message

STOP: c000021a {Fatal System Error}
The Windows Logon Process sysstem process terminted unexpectedly with a
status of 0x00000402 (0x00000000 0x00000000)
The system has been shutdown

Sometimes, I don't get the blue screen, but get a windows popup with the message "lsass.exe" failed to initialize ...

If I leave the system powered off completely for about 1/2 hour and start it back up, it will reboot properly and will continue to work for days until I reboot. When I try to reboot, it never reboots and I have to power it down and leave it off for at least 20 min. to 30 min. Initially I suspected that it is a hardware problem related to heat, but I checked and everything seems to be OK. I didn't see any heat related issues either. I have finally been able to setup the PC the way I want it and it runs fine until I reboot.

The problem is very random -- sometimes, I can run days without any problems, sometimes it will reboot after 10 minutes or even less time. The only thing I can see in Event viewer is related to a "DgiVecp" service could not be started. I have searched the internet for months without any luck.

I have an XP Pro. running 576 MB RAM and a 1.2 GHz system with 2 HD (40 and 60 GB each)

If you need any information please post back. Any help will be appreciated greatly -- I have been frustrated with this problem for months and don't know where to look anymore

This procedure requires the WIN XP CD.

Go into your BIOS and make your CDROM your first boot
device, at the same time, DISABLE second and third boot
devices, put your Win XP cd in the drive, save and exit.

Reboot.

When you get to the setup screen, make like you were doing
a fresh install and when you get to the "Select a
partition to install to" you need to select the
partition/drive that Win XP is ALREADY on, and click OK.

You will then be presented with a message along the lines
of "XP already detected on this partition, would you like
to repair?"

Click Yes/Ok to repair your XP without losing any data or
settings.
