Installing XP from OEM

Hi,

I just bought a new MB, memory, and processor---and the dealer offered a
deal on an OEM Windows XP, suggesting I upgrade (from an OEM of W98se).

Installed everything. The upgrade to the oem XP starts ok, boots to a DOS
upgrade program that offers to replace the old windows operating system
but warns me that it will erase all applications, system files, etc. "that
are associated with"
Windows 98se, "perhaps even" the My Documents folder (really, it actually
says "perhaps"!)

Questions:
1) Given I have only one petition on the HD (60 gig) with a TON of programs,
files, etc., can I go ahead with the replacement of Win98se to XP
without screwing up all of it? That is, will it work like a normal, non-OEM
XP upgrade? It SOUNDS from the DOS program I just cited that it will only
erase the Win98 files, so can I assume that the rest of my drive will be
unaffected?

2) If not, any suggestions? It does offer to create a partition in the free
space on my HD...maybe I should put XP in there? Thanks for any ideas, I
appreciate it.

OEM versions of Windows XP:

-- cannot upgrade over an existing Windows installation
-- cannot be transferred to a different computer in the future
-- the license cannot be sold or transferred to another user
-- are not eligible for free Microsoft technical support
-- must be purchased with some type of computer hardware
-- cost less than "retail versions" due to the above limitations
