Hi David,
it indicates that some program is not ending properly.Try to shutdown
running applications and processes by hitting [ctrl]+[shift]+[escape]
keys and using task manager.This will help you to detect the application
/program which is causing the problem.
Also scan your system with latest antivirus/spybot search and
destroy/adawares

Rundll32 has been set going to run some DLL file, which is hanging at
shutdown. It sounds suspiciously like an item of spyware/Adware - read
up on that at www,aumha.org/a/parasite.htm and use the tools suggested
to see. Then Start - Run - MSconfig.exe and see if there is a line on
the Startup page using RunDLL32 to run a file - uncheck it, exit and
reboot and see what effects there are
