That's insufficient. I don't recommend Windows XP with less than 256MB.

and i dont have the win98 cd with me anymore. How can i
upgrade it to windows xp? Is there still hope? also, i used to
connect the internet thru dail-up, if i buy an ethernet card, will it
work in my windows 98 OS? I would really appreciate for the help.

You need to upgrade so much, that you'd almost certanly be better off just
buying a new computer.

The upgrade, because it has exactly the same software as the Full version,
and costs much less. Either will do a clean installation or an upgrade, but
the Upgrade version requires a CD of a previous qualifying version to do a
clean installation. If you don't have a 98 CD and want to do a clean
installation, you can get a used 98 CD very cheaply on eBay.

Don't confuse the Full version with an OEM version. It's much cheaper, but
comes wit several severe restrictions, and I don't recommend it.

I bought and use a USB ethernet adapter.
