XP - "Winnet.exe - DDL initialization failed"

durning log-off in XP this error popup appears:

"Winnet.exe - DDL initialization failed" --
(The application failed to intialize because the window
station is shutting down.) Application times out and
Windows finishes closing.

Wondering if anyone could help me understand and correct
this error. Should I reinstall windows?

Google Is Your Friend(tm). Using the search term "winnet.exe" brings
links that immediately tell you that you have the Common Name spyware.
Download, install and scan with removal tools such as Spybot S&D and/or
Ad-aware Lavasoft. Practice using Google to find these free, easily
available programs.
