Price and license. Acadenmic is cheaper and only for students and the
license becomes invalid when your not a student anymore.

Academic Versions of Windows XP are:

--- For noncommercial, educational use only.
--- For qualified educational users only.
--- Non-upgradeable to the next Windows O/S.
--- Non-transferable.
--- Has installation support only.
--- Has a non-perpetual license that is tied to the eligibility of the
user.
(If a user is no longer a student or educator, the license is no
longer valid)

Your right to use the Academic version of Windows XP ends when
you no longer meet the criteria for using the Academic version of XP.

Other than the above limitations, Windows XP Upgrade is the same.

What is the difference between XP Pro upgrade and XP Pro
academic upgrade if any?

A matter of licensing. An Academic one is only to the licensee for the
machine it gets installed on, and for the duration of his qualification
as a student. So not transferable.
