Not if Win98 is currently installed on the system and you run the install
from Win98.
However, if you ever have to re-install to a clean HDD, yes, you will need
Win98 to verify legitimacy of using the Upgrade version of XP. So, it pays
to keep a "qualifying copy" of the old OS nearby in case you ever need it.
