XP SP1 Will not install over ME on Dell Laptop

Hi all,

Got a strange one...

I have a Dell INSPIRON 8000, a 1Ghz PIII with 256mb of
memory running ME no problems. I have been trying to
upgrade to XP SP1 for the last few days with no luck. I
get passed the "Upgrade report" window then up pops a
mesage box saying "Before setup continues, Please restart
your computer"

Tried re-booting SO MANY TIMES!!

I have taken ME up to the latest patches all of which
updated OK. I looks to me as if some flag is staying on
someware telling windows there is an outstanding update
pending but for some reason its not clearing......

Any ideas?

Yes Bruce I have no problems there, its not reporting an
incompatability, Every time I boot ME it reports

"Updating files.......

Completed updating files continuing to load windows"

I am sure this is the problem but can not work out how to
stop it trying to update every boot
