XP Reinstall

I have a laptop that I upgraded from XP home to XP Professional. I have the
product key for the upgrade. The old computer died and I have now bought a
anew computer- also with XP Home. Can I use my XP Pro disc and key to upgrade
my new system since my old licensed system is DEAD? Initial installation of
CD gave message that existing OS is newer than my upgrade. Dont know why I
should not be able to use it since my prior use is gone. Thanks for your help.

Yes, you can use the same Windows XP Pro license to upgrade.
However, you'll need to make a "SP2 slipstreamed" version of
Windows XP Pro since your new computer apparently came
preinstalled with SP2 and it cannot be uninstalled.

Either one of the following utilities makes slipstreaming
(integrating) SP2 into Windows XP a breeze:

The Upgrade may be used for an upgrade over the new machine. but you
will have to 'Slipstream' it with a full copy of SP2 first; either order
from
http://www.microsoft.com/windowsxp/downloads/updates/sp2/cdorder/en_us/default.mspx
or if you7 have broadband, download the full thing - 266 MB - from
http://www.microsoft.com/technet/prodtechnol/winxppro/maintain/sp2predl.mspx
under Download and deploy to multiple computers (ignore comment about
