Either will work for the either type of install, provided that you have the
old Windows install media to confirm the license.

Thanks for the replies.
Does anyone know of an "official" link that states this?
Do not want to take the chance, but the full version I
have found for less money.

Both the Upgrade and Full versions can be used to perform
upgrades. However, note that an OEM version, which many people
confuse with the full version, can *not* do an upgrade.

If you've found a "Full" version for less than an Upgrade
version, it almost certainly is *not* a Full version, but an OEM
version. That's the version I mentioned in my reply moments
ago--the one that will *not* do an upgrade.

Either the full or upgrade retail version will work, but the OEM version
will only do clean installs.
