XP Home Upgrade Pack not used

I've bought xp pro and would like to know if its legal to
give my xp home upgrade edition to my boss and install it
on his pc as his is running millenium edition for a
pentuim 4 with 1gb memory
 
If it's an oem version, then no you can't. Oem versions can't be transfered.
If it's a retail version and you used xp home as your qualifing material to
use the xp pro upgrade disk, then no you can't. If you use the xp home as
the qualifier to upgrade then the two licenses get tied together and cannot
be separated. If you sell/give away the home the pro goes with it.
If it's a retail version and you used win9x as your qualifing material to
use the xp pro upgrade disk, then yes you can sell/give away the xp home.
(this is all according to ms and its eula)

If you bought an Upgrade copy of XP Professional, no it's not.
The product you upgraded from becomes part of your license and
you can't sell or give it away. Otherwise you can.

On;ly if you first remove it totally from your own machine - the
licensing is strictly as one copy - one machine
