By whom?

Windows XP - if it came installed on the Dell system - is an OEM and tied to
the physical hardware upon which it was originally installed according to
the strict language of the EULA which you agreeed to by usage of the Dell
machine. If you are now running another OS on said Dell and that OS was not
an 'upgrade' to the Windows XP that was originally on the system and you
wish to now use VMWare to run that Windows XP on that same machine alongside
your new OS - that is the only case I can see where 99% of the world
population would have no issue with.

Beyond that - you'll have opinions voiced on all sides.

If you installing it on the Dell computer with which it was original
purchased, certainly. Otherwise, no. Probably won't even work.
