Windows\System32\Config\System Error

Good day, and thank you for taking your time to review this problem.

I am working on my machine ... a VPR Matrix, Win XP. I started getting the
above error with a short paragraph under it telling me to attempt to repair
using the setup CD. I hit "R" and went through the entire process, but it
does not repair.
I then noticed on startup that it said I had 32M of RAM. I figured the RAM
went bad, so I bought a new 256 chip (From Crucial; it is the right one). I
stuck that chip in the slot, and upon startup it claimed 256. YEA! But then
a message came across that said Decreased memory, hit F4 to resume. I hit
F4.
Then I got the same error message as before (as in title of question).
So I CTRL+ALT+DEL to watch the startup procedure, and lo and behold, it said
32M again.
I thought I ruined the new chip. As I was playing with things, I removed
and reinstalled the chip. Upon startup I got the 256M and the memory
decrease message again .... and, of course, the error listed in the title.
I inserted the old, 512 chip, and the 256 chip (2 slots of 1) and this time
I hit F1 during startup .. sure as day, it claimed that I had 768M of RAM ..
but on the black screen during startup it still says 32M and I still get
redirected to that "Windows cannot startup as the following file is missing
or corrupt Windows\System32\Config\System"
Where in the world do I go from here? I have known good RAM chips, and even
recognizes them in the F1 startup screens. But only notes 32M on the main
boot screen and continues to not allow me into Windows.

Thank you for this link ... I reviewed it, completely, although the very
first part threw this curve at me:
"Warning Do not use the procedure that is described in this article if your
computer has an OEM-installed operating system."
Since this is OEM, how do you recommend I proceed?
Again, your efforts & time are not taken lightly of for granted.
