Win2K Upgrade from NT4 hangs on "Please Wait"

Clean install works. upgrade does not.
Hangs in the "Please Wait" screen.
not the please wait while windows checks .....
The straight Please Wait
Has anyone actually resolved this or just given up and
gone for the clean install

Exactly what point in the process does it hang on please wait?
