Win2K SP4 with Motherboard crash

I have a PC (not a server) with Win2K SP4 using an ASUS A7V motherboard, 1Ghz chip with 512MB SDRAM. The motherboard crashed last Friday. It appears the memory is fine.

Can I EASILY get a new motherboard, faster processor (2.x+), DDR RAM and NOT have to reinstall Win2K and lose everything?
What's the easiest way? Bite the bullet and go to WinXP Pro or use the same Win2K SP4? [You can even suggest a motherboard mfr/processor, if you like!]
[Hint: I've never done an upgrade like this before, but I'm not afraid of it since I've done many other OS things.]

I had a situation with 1 ghz P3, Via chipset, 2gb SDRAM, ATI Rage AGP Card,
IDE & Firewire cards...
put the system drive into a new computer I was building to run some checks
on it... new computer was 3.06 ghz P4, 1 gb DDR 333, Intel 845geb chipset,
ATI Radeon 9700 AGP Card, RAID, similar IDE & Firewire cards...

I thought I had destroyed my system installation... but the new computer
booted "OK" off of it... and to my amazement, when I returned the system
drive to the proper box, it was working a wee bit better than before... but
that may have been my imagination due to overwhelming relief.

Point is... give it a try... might be OK... but I think the best way is to
do a clean install.

There will be a problem if the IDE controller in the new MB
is different than the old one - it will look like it's
about ready to boot up and then you'll get an
"inaccessible_boot_device" error. I found some discussion
of this in the MSKB - after reading through it I (and some
others) concluded a new install (even with the necessitated
software reinstalls) is easier...see "How to move a Win2K
installation to different hardware"
