Win XP shutdown problems

Every time I shut down or restart my computer I get a blue screen with the
following error message:-

STOP 0x0000008E (0xC0000005, 0x80631B85, 0xF5B96A3C, 0x0000000)

I've got SP2, and updated all my drivers including the BIOS, I've run the
memory tester and that worked out fine, also I've upgraded the RAM once since
it started happening, and its had a new MB since then too so I don't think
it's either of those.

Any ideas would be greatly appreciated as i've run out of them now!
