WIN xp Install won't work in my new computer with WIN 98 FE

Install get's BSOD " STOP 0x0000007b etc etc" when I
attempted install in new computer having AMD 2200 Pro CPU
and SIS 740 and 962L Chipset. Had OEM win98 first edition
on HD and could not install winxp home upgrade. have 256
DDR Memory, loaded both optimal and best performance BIOS.
Would this CPU and Chipset be at fault or?????
