What causes my computer to keep turning back on?

I close down WinXP at night through the proper shutdown. All the lights
go off. But often during the night it switches itself back on. I have
checked all the obvious (to me) things like hibernate, BIOS settings
etc. But the computer is definitely off - not just sleeping, although
it is plugged in obviously when this happens and there is power to the
motherboard.

Anyone know of this happening and is it likely to be serious? The
motherboard (a cheap PCChips from Ebuyer) is only a few weeks old but I
really don't want to send it back unless it will get worse.

I found that my fax program was listening to the phoneline and when the
phone rang it switched the machine on automatically. Could this be the
cause?

You said that you checked your bios settings......did you check for wakeup
on lan (wol)? Did you also check for an automatic restart after power
failure? Try unplugging your modem or cable connection and see if the
problem goes away.

How could your fax program be running with your PC off?
