URGENT!!! Please help me!! General computer/internet problem

Please help me! I am being driven crazy! Almost every time I open a webpage
or refresh(about every other time) The search thing comes up on the side(the
blue windows search thing) which crowds my screen and I have to exit out of
it! It's driving me crazy!!! Please please help me!!

Also, when I am trying to download quite a few files I get this error:

16 bit Windows Subsystem

C:\WINDOWS\SYSTEM32\AUTOEXEC.NT. The system file is not suitable for running
MS-DOS and Mircrosoft Windows applications. Choose 'close' to terminate the
application.

Then there are two buttons, one that says "close" the other says "ignore"

Is there anyway that I can do something about this so I can get my precious
files?

My computer is only a month old, and was brand new when I bought it. It's a
dell inspiron laptop. and I am running windows xp. I have a network set up
for my household, and I get my wireless through a normal wireless card.

Also, the error has been happening for a few days, the search thing hasn't
started happening until today. Please don't tell me to run virus scan or
anything or take out sp2, I have an excelent Virus scan program, and I have
uninstalled sp2, It didn't change anything. I also tryed to restore to last
week, and that didn't change anything either. Please help me. I feel like
crying.

More than likely some form of Spy/Adware.
