I presently run XP Pro on a Pentium 111 @999MHZ with 512 meg of ram. It runs
fine, however I have been offered a Celeron 2.66 MHZ 478 pin CPU and MB and
1 GIG of memory. The board is an AGP board which is fine as I wish to use
my present video card and hard drives etc. Is such an upgrade worthwhile
from the increase in performance perspective or am I just wasting my time.
I am only looking at about $300 for the upgrade.

Check out the motherboard online.. see if it is a discontinued model before
buying..

Lets see twice the memory and double the speed for $300 I would think its a

That's no bargain if the $300 is US dollars. For $99 US more I bought a
brand new system, AMD 64 3500+, 512mb ram, 160gb disk, DVD burner, 17" crt,
speakers and a printer. And the motherboard has a PCI express video card
slot.

While certainly, you will gain some performance, personally I think you can
get more bang for your buck, by ordering a new mb and processor and ram
from somewhere like Newegg.com. You might spend a few more bucks, but will
gain significantly for those few bucks.
You could easily get a decent socket 939 mb, with an Athlon X64 processor,
for not that much dollars... and , you could go with say an Nforce3 based
motherboard, to retain your agp slot for your video card.

You did not mention your current video card, or what you mostly do with the
computer, however if it is for graphic intensive processes, like gaming, you
may still be severely hampered by your current video card.

It should be possible to find a system using the Pentium 4 CPU
based on the LGA775 socket, running at a faster speed, and a
contemporary motherboard for about the same price or maybe a
little bit more. It would be more modern technology. Shop around.

You will get more performance, but whether or not you notice it depends on
your workload. If all you do is email plus modest-to-medium office stuff,
then I doubt if you'll notice.
