upgrade two Domain controllers, which one first?

We have two w2k DCs. Upgrading to w2003. Can I do either first, or do I
have to do the one with all the FSMO roles?

You can do either. But you have to adprep /forestprep and adprep
/domainprep before hand and allow ample time for replication.
