Upgrade .Net Framework 1.0 into 1.1

Hello, What's the impact to my existing code written in
1.0, and what's the procedure to migrate to 1.1, can
someone help me in doing so.

The initial development was done using .Net Framework
1.0.3705 and Visual Studio .Net 7.0.9466.

Do i need to upgrade the VS .Net to 2003?.

to develop for .NET 1.1, yes.
(VS.NET 2002 is hard-wired to 1.0)
