I have a HP pavilion 9880 with windows ME provided with the machine. I
purchased a windows xp upgrade pack but when I try to setuo I get CD key is
invalid or when I boot up using the xp disk it says I do not have a copy of a
valid windows system and am not able to upgrade. I followed all the
instructions on the microsoft help pages but am still not able to upgrade.

Where did you buy the upgrade from? Are you sure you are typing in the
letters/numbers correctly?

Probably Bios locked OEM. Did you purchase a Retail Upgrade package maybe or did you purchase a OEM XP that would be compatible with your HP model ? Might want to call HP to get a XP Restore CD

Ah.....very well could be. Great catch! :o)

You need to examine the Product Key very carefully. It's awfully
easy to mistake a "B" for an "8," a "G" for a "6," an "S" for a "5," or
a "Q" for a "0" or "O." Fortunately, Microsoft had the good sense to
leave the "1's," "I's," "O's," and "0's" out of the equation. Also, be
sure that your <CapsLock> is _off_ while entering the Product Key --
this isn't supposed to make a difference, but I've seen it do so, on
rare occasions.

Also:

Have you verified that your PC's hardware components are capable
of supporting WinXP? This information will be found at the PC's
manufacturer's web site, and on Microsoft's Windows Catalog:

You should also take a few minutes to ensure that there are
WinXP-specific device drivers available for all of the machine's
components. There may not be, if the PC was specifically designed for
Win98/Me. Also bear in mind that PCs designed for, sold and run fine
with Win9x/Me very often do not meet WinXP's much more stringent
hardware quality requirements. This is particularly true of many models
in Compaq's consumer-class Presario product line or HP's consumer-class
Pavilion product line. WinXP, like WinNT and Win2K before it, is quite
sensitive to borderline defective or substandard hardware (particularly
motherboards, RAM and hard drives) that will still support Win9x.

OEM Upgrades are very rare.
