Windows 2000 and later have System File Protection, which prevents you from
replacing operating system files, unless done through a Microsoft hotfix or
service pack installer.
Any requirement to do this (replace a system file) is based on a flawed
design. There's a lot of developer resources under the topic "windows file
protection" that explain WFP in greater detail if you search the
microsoft.com and msdn websites.
You would have to disable SFP. Search the web for this.
