Unknown background processes

When I open my task manager there is a process called
netdc.exe that i have never come across before. When I do
a search for this file, it does not exist on my computer.
What is this file and why cant i locate it?
Also, there is a file called st.exe in my C:/Windows/
directory which is also new and unknown. Virus checks and
SpyBot found nothing.

I have done both already. All clean.
I would like to know though what netdc.exe is.
Also if the folder c:/windows/ should have the file
svchost.exe or should it just be in the
c:/windows/system32/ folder?
