"transparent" implies that you can see through it.
What do you have "behind" it that you want to see?

I understand what you're saying but that's the different that what I'm asking
form. I have a image that displays a color gradiantly. I need the listbox
to be transparent to see the backgound of that image. The background of the
image is not a constant color.
That might make a neat effect, but alas unfortunately not. Now that Aero
transparency is a part of Vista and Windows 7, I think this might be a
feature request for the next version of Access. Perhaps it might be worth
submitting to the Access Team:
