Tasks won't terminate

I am on Win XP
Service pack 2, fully updated.

I have two tasks in the task list, (when I do a ctl-alt-del) , and the
same tasks appears when I run the program
Task Power (From PC magazine). But I cannot terminate these tasks.

They are: SunThreatEngine.exe and SunProtectionServer.exe.
I know what they are, they are programs, drivers, ? whatever, that came
with CounterSpy, an anti-spyware program.

But why can I not terminate them?
When I do terminate them they reappear a few minutes later
And
Why do these programs, services, or whatever they are, appear no where
in numerous programs that I can run
to tell me what programs, services, drivers etc.... run at startup.

I have startup cop pro, I have autoruns, task power, Startup List 2.0,
ServiWin, and Startup Control Panel 2.8,
but the two tasks do not appear in any these programs as startup
items,services, drivers etec....

I am using XP SP2.
My internet explorer can brows all websites but it takes much time to brows
<www.mail.yahoo.com>,
Even if it gets the website, but when I put my Yahoo username & password it
shows
"Page can not be displayed". But if I try with other computer I can sign in
at my yahoo account.

Can any one tell me what should I do?

Remove that nasty app ASAP.
