Task Manager disappears before I can use it.....

After holding down CTRL and Shift Keys and hitting ESC
once...Task Manager sometimes comes up..but only for a few
seconds at most....

Any ideas on how to correct this?

You are most likely infected with the W32 Spybot worm.
Info on removing Spybot at:
http://securityresponse.symantec.com/avcenter/venc/data/w32.spybot.worm.html

Special thanks go to Doug Knox MS-MVP for the following workaround:

Do the following:

Click Start, Run and enter CMD to open a Command Prompt window.
Then copy and paste the following commands into the Command Prompt window.

COPY %WINDIR%\System32\Taskmgr.exe %WINDIR%\System32\Taskmgr1.exe
COPY %WINDIR%\REGEDIT.EXE %WINDIR%\REGEDIT.COM
COPY %WINDIR%\PCHealth\HelpCtr\Binaries\MSCONFIG.EXE
%WINDIR%\PCHealth\HelpCtr\Binaries\MSCONFIG1.EXE

Then you can use the new file names to get into these utilities to use them
to help your troubleshooting.

You have a virus. Reboot in Safe Mode and rescan your computer. Then See
www.dougknox.com, Win XP Utilities, Startup Programs Tracker. This small
utility scans your system for startup programs and running processes. It
also allows you to create a log file that can be copied and pasted into a
newsgroup post. The contents of the program window are also copied to the
Windows Clipboard, automatically.

Generally, the Running Services section is not needed for newsgroup replies.
