sysupd.exe DLL failed to initialize

I keep gettnig a message that says the sysupd.exe hasn't
initialized when I am shutting down/logging off the
computer. I want to know how can I fix the DLL so it will
stop coming up. I awnt to keep my computer running in tip-
top shape. Thanks please e-mail as I may not be able to
find this again.
