Stuck in Upgrade Loop

I'm trying to upgrade my desktop from W2K Pro to XP Pro and during a restart I "briefly" received this error msg titled "lsass.exe - not enough quota!" stating "Not enough virtual memory or paging file quota is available to complete the required operation." Then the system auto-restarts and the installation screen pops back up stating "Setup is Restarting . . . . . . . . . ." The screen will flash, my cursur will appear and the the cycle starts all over again with the error msg. I can't even run in safe mode - command prompt only. The only thing I can do is go into my BIOS. Will somebody please ease my suffering?

Install xp cd,restart computer,boot to xp cd,select,install xp,new copy,
delete current partition(2000),create partition,xp will reformat the hd
and do a clean install.

That would work - IF HE WANTED TO LOOSE ALL DATA ON HIS PC!

Try using a feature such as a Windows PE / Bart PE Boot CD to access your
data and back it up before you re-install your PC.

Bart PE can be obtained from the following website -
http://www.nu2.nu/pebuilder/
