Simple License question

Hi,

Suppose I own both a legitimate Windows Pissta Home Premium and a
legitimate Windows XP Home license.

The Windows Shitsta is currently installed on my desktop, the XP
Product key is installed nowhere, and never has.

Suppose further that I am am infuriated with Microsoft's rushing of a
not ready for market Windows Pissta, and that I would like to upgrade
to XP.

Sadly enough, The XP cd is a gift (I was trying to upgrade a friend's
computer from Vista to XP, but it wouldn't install ) and in a French
edition.

My plan is to download XP Home English edition off Isohunt, and use my
legitimate XP Home License when a product key is required. The license
sticker doesn't mention the language.

Some questions

1) is this legal ?
2) will I pass each Windows Genuine Disadvantage existing or planned ?
3) can I resell my then unused copy of Dicksta (first sale) and will
it pass WGA ?
