Shutdown Error Message

Just installed a new OS of XP Home now get message that
it needs to shut down. Any ideas?

It appears in a box that contains the following:

C\WINDOWS\system32\lsass.exe
Error code 1073741819

Problem occurs with regularity. Especially when I sign on
to ISP (Earthlink).
