While trying to install SP2 I am getting this error:

"The file c:\windows\system32\ftp.exe is open or in use by another
application.
Close all other applications and then click Retry."

I ran Task Manager and it does not show this application running in the
"Proccesses" tab. Does anyone know how to overcome this problem?

It should show up as "File Transfer Program".

You might want to try to rename the program.

If you can't rename it, then it means another program is indeed using it.

You can use Task Manager to Kill tasks until you find the task
that is using the FTP program.
Then, disable that program until you install SP2.

HTH,
