Rundll32.exe (Not responding)????!!!!

My machine takes a long time to start and shutdown these days. And everytime I shutdown, I recieve the message from XP stating that the Rundll32.exe file has 'stopped responding' and will be shutdown, at which point I have to wait for ages only for it to tell me it couldn't be shutdown. So I press the "End Now" button and possibly lose some info

Can anyone tell m

a) What is the rundll32.exe file
b) Why we need it
c) How to fix this problem
d) How to prevent it happening again

To help, I have a 1.7gHz AMD Athlon
1.3GB RA
30GB Hard Drive

The os requires it.
c) How to fix this problem?

Start, run, type in: sfc /scannow.
Hit enter, have xp cd handy.
