RunDll Error @ Shut-Down

Hi,
I have Windows 2000 and am experiencing the following
error message when I attempt to shut down the computer.
I am told that "RunDll32 " is still running and it won't
let me shut the computer down.

I have NO viruses according to Norton, NO Adaware
problems and NO SpyBot junk.

What do I do now ???
