would I be better off with win98se or
xp pro?

for?,better cooling fan, memory,case fans...

thinking aout that converter and cpu

I'd skip the generic floppy and use a Mitsumi combination floppy/flash drive
instead. Not terribly expensive but probably far more useful as floppies
become more rare and flash cards become more common.

scrapping the CD and going to a DV+-RW drive now that you can buy one for
around $50 -- maybe even less if you look around. This isn't a no-name
either but a Toshiba

Being able to backup data to a 4.7gB RW disc is quite useful as I've
discovered lately. And more memory never hurt and anything <512K seems a bit
tight for modern applications.
