Processor change

If I change out processor only, will I lose my XP OEM license? That is,
using the same motherboard the XP OEM license is installled on, processor
change only.

Depends on what you mean by loose, if you mean will it become invalid, then
no. If you mean will you have to reactivate, probably not.

David, thanks for your reply. I should have been more specific. This refers
to the EULA restrictions on the OEM type OS wherein a motherboard may not be
upgraded.
Lets say for example a specific 865PERL mb is licensed under the OEM EULA.
The board is equipped with a P4 2.4 processor. The licensee removes the 2.4
and replaces it with a P4 3.4. Does this violate the EULA? I've asked
Microsoft this question and can't get an answer, so I was hoping that someone
might have done this and could tell me what happened.

Read the specific EULA. The one I have in front of me applies to a
"fully assembled computer", meaning a CPU, motherboard, a hard drive,
a power supply and a case. If any one piece is missing, then it would
appear that this EULA is not binding. Replacing just the CPU, in this
case, would not be a violation. Your EULA might read differently.
