I apologize, I noticed that this has been addressed several times but while
reading threw the threads I need an "idiots guide" Can some please address
this issue again. I have 70 Processes running almost all the time. The
CPU usage stays pretty close to 10.... Is that ok.. It seems like too many
processes to me.

Ten percent CPU usage while "idling" seems out of line to me. Here are some
of the 48 processes running on my machine:

IIS 5.1,
SQL Server 2000 Developer Edition,
Avast Anti-virus,
Windows Defender,
Microsoft OneNote,
Money Express,
MSN Messenger,
Trillian,

And most of the time my System Idle Process is at 99 with occassional dips
to 97 while my machine is "idle".

Seventy seems like a lot. Research what processes are running using
these resources to find out what they are, then decide which ones you need.
