Power supply won't stay off.

I have a conventional motherbaord and ATX power supply with strange
problem.

About 1/3 or the time shutting down the computer will cause Windows to
go though all the shut down process, the LEDs & fans blink out, and
then the whole system starts up again with a memory test.

When this happens I can repeat this by pressing the power switch during
the memory test. To shut it off I either have to keep trying, or hold
the button in for several seconds.

Any ideas on what I should look at / replace, I'v check all the auto
power settings in the BIOS.

Look in BIOS for a setting to automatically turn on the
computer. Peripherals that have this ability include network
controller and modem. These 'turn on' interfaces (on
motherboard) can be 'fixed' by connecting them to the
associated peripheral (if option exists on that peripheral),
or by disabling the function in BIOS.

Power supply (probably) is not turning itself back on. The
power supply controller - another function of the power supply
'system' - is ordering the power supply back on. Tell power
supply controller to stop doing this by setting the BIOS
accordingly.

I've got a USB switch (with mouse + keyboard) on my machine, and if I
switch when the machine's shutting down I sometimes get this problem.
I don't understand why it does this, but maybe you have a similar
problem. Have you got any 'weird' USB devices?

/ Click Start Button
2/ On the Start Menu click Control Panel

3/ When the Control Panel window opens click on the System icon

4/ The system properties window opens

5/ Click the Advanced tab

6/ In the Advanced tab window locate the Start and Recovery section and
press the Settings button

7/When the settings window opens look for the System failure section

8/ Remove the check mark from the Automatically Restart option

9/ Click OK to Exit
