I left WIN XP Sp1 on overnight on the net, came back to a
black screen. windows fails loading when i power off, but
doesnt start to load at all with a reset.

When i insert WINXP cd and boot i get a stop error-

PFN_LIST_CORRUPT
tech info:
*** STOP:0x0000004E, 0x000009A2, 0x00007212, 0x00000000

i checked the knowledge base and it came up with results
for WIN NT and it said to replace ram. i dont want that to
happen

Sorry to bear bad news, but this is almost always related to bad RAM. SP1
is less tolerant of bad or mismatched RAM.
