P4PE won't boot, 'overcocking" message and i'm not OCing. please help

firstly, i don't overclock my computer.
it's a homebuilt P4PE with a 2.8Ghz P4 and 1 gig PC2700 DDR (can't
remember brand) in an Antec case.
been working fine for about 8 months.
the other day it wouldn't boot. at all. playing around with it,
nothing. suddenly, on it's side, it started to boot. i got a POST
message 'system failed due to CPU overclocking."
huh? not sure why i got this error, i don't OC and i've got fans up
the wazoo to cool the sucker. but it started working normally.
worked fine for a while. now, a few weeks later, i get the same
message, was forced into the BIOS and looked at it and all was normal.
when i went to reboot, nothing at all. sucker fires up, lights go on,
but no POST screen, no message, no video at all. CD drives light up,
but pressing the 'eject' button elicits no results.
and i've put the video card (chaintech GF Ti4600) in another machine
and it works fine. can't test the CPU, unfortunately.
i can't remember the BIOS version, but i bought the board in march, so
it's pretty current.
any thoughts? i've checked all connectors, fans all work, cards/mem
are seated properly and PSU is 350 watts, more than enough for my rig.
i'm stumped and really pissed as this is my gaming rig and i'm jonsing
hard for shooting things :)
any suggestions?

Sounds like the infamous cold boot problem. Next time it acts up turn off
then on the power from the back of the case.It remains an infrequent
problem here.
