NT 4.0 to W2k advice

I am not looking for specific details, but in general I would like to know
how others would accomplish the following:

Have an NT 4.0 domain with a PDC and and Echange 5.5 server (2 seperate
machines). Approximately 40 users on the network. Replacing each existing
server with a new server and we want to upgrade them to Win 2K on each
server and Exchange 2000.

What is the best way to accomplish this task?

Do you have 2 new servers or are you installing the 2k
versions on the existing servers?

I think you can just upgrade an NT4 PDC to a Win2k DC, as
well as upgrading to Active Directory. Exchange 5.5-2000
is probably similar, but you could otherwise probably just
copy your mailbox stores from 5.5 and import them to
2000. Someone else wanna comment on this? I'm not
exactly an Exchange tech.
