No internet access with LAN connection enable

I have a pc running Win2k and connected to the net via a USB ADSL
Modem.I connect it to a pc running Winxp via a crossover lan cable.
Both machines can see each other(great!) but i can't get internet
access. i need to disable the connection on my win2k machine to get it
back. Is there a way to bypass this and make it simple?
Moreover i would also like to know a way to share the internet
connection.

Most modems will only give out one IP address. The first computer to
get it gets it. If I were you, I'd get rid of the USB Modem, get a
10/100-Base-T modem, feed it to a DSL/Cable internet router and plug
your machines into the router.

There is no router, so each pc will try to grab an IP address from your ISP.
This is usually a TOS violation, unless you pay for more than one IP
address. You need to at least install or enable a DHCP server and routing
software on the win2k machine and associate it to the usb modem so that both
machines will get IP addresses locally through the second ethernet adapter.
So only the usb modem gets an IP address from your ISP, the rest gets IP
addresses locally, and traffic is routed out through the win2k machine.

To simplify your setup, I would just buy a broadband router and connect
everything through it so that it handles all the routing and IP addresses.

Agreed absolutely. ICS stinks.
