new mobo

I am planning to buy a new mobo, so that i can get a pci-e video card.
I want to use the processor i already have. I'd like to know how hard
is it to take out the processor and put it in a new mobo, and what do i
have to do? Also, will there be any problems putting the old ram into
the new mobo? Do i need a new fan, heatsink thing?

Oh ya and the processor is a P4 2.8Ghz 533fsb

Thanks

It might be a little tough getting a socket 478 processor in a socket 775.
IOW, only socket 775 supports PCI-Express.
