msmsgs.exe still runing after closing OE ?

I'm running XP SP2 and I've noticed for a some time that after I close
OE I can look in my Task Manager process list and I still see msmsgs.exe
running, and have to manually kill it (although I don't see OE in the
Taskbar after closing OE.)

Why does this happen and how to prevent this?
